HOW TO ORDER: Browse our online store and place your order via the Internet; Download an Order Form and fax it back to us at (415) 897-9165; send us an Email, or call our customer service at (415) 897-8696 to place your order.

POINT OF SHIPPING: We usually ship from our warehouse in Novato, CA unless otherwise agreed upon in writing.  In most cases we arrange direct deliveries from the overseas manufacturers when the quantities justify special shipping arrangements.

TIME OF DELIVERY: Many items are warehoused in Novato, CA and will be available for immediate shipping if so requested by the Purchaser.  For large quantities such as Private Label items a longer delivery time should be anticipated.  For specific delivery times, please see the UPS Web site.  East Coast deliveries typically arrive within 7-10 business days, and West Coast deliveries typically arrive within 3-5 business days.

SHIPPING & HANDLING CHARGES: Orders are shipped either via Federal Express or UPS.  Cillus will not be responsible for freight rate charged, and we shall always try to ship the best way, unless specific routing instructions are given and are accepted by Cillus Company, Inc. in writing.  Shipping rates are based on the following price table:

MINIMUM ORDER: Quantity varies in relation to product.

PRICING: All prices are subject to change without notice.  All orders are subject to acceptance by us.  All orders will be invoiced at prices prevailing at the time of shipment.  Volume discounts may be offered individually.

PAYMENT TERMS: Our standard payment terms are NET 30 DAYS from invoice date (= shipping date) including partial shipments for established and approved accounts.  We do not offer shorter payment discounts.  Cash payment or company check applies.

OVERDUE ACCOUNTS: Shipment will be held on accounts whose balance is outstanding longer than 60 days after date of maturity.  Customers who do not maintain their accounts within our terms are subject to a finance charge of 1 ½% per month and suspension of credit.  Interest will be charged on all past accounts monthly. Buyer agrees that if an invoice is not paid in accordance with stipulated terms, and in the event that collection effort is necessary, they then will pay all costs of collecting the account balance, including a reasonable attorney's fee, late charge, and collection agency fees.

OPENING OF NEW ACCOUNTS: To establish an account, please complete the credit application form (viewed using Adobe Acrobat Reader). California residents must state their Sales Permit #.

PURCHASER'S PURCHASE ORDER FORMS: Orders received on a Purchase Order form of the Purchaser will only be honored subject to all these terms and conditions.  Cillus Company, Inc. will not accept any terms other than those set forth on the list and acceptance by Cillus Company, Inc. of any order is conditioned on the Purchaser's assent to these terms.  Additional or different terms set forth on the Purchaser's orders shall not be applicable.

AVAILABILITY: All orders are subject to availability of products.  Cillus Company, Inc. shall promptly notify the Purchaser if an order cannot be filled or can be filled only partially.  Orders for early shipment get priority status in event of product shortage.

EXCUSED NON-DELIVERY OR DELAY: Non-delivery or delay in delivery of products, in whole or in part, shall not be a breach of the duty of Cillus Company, Inc.  If performance has been delayed or made impracticable by unexpected circumstances such as: floods, fires, earthquakes, riots, strike or labor disputes adversely affecting production and delivery schedules, power failures or shortages, and failures of transportation.  If the ability of Cillus Company, Inc. to perform is affected by any such contingency, Cillus Company, Inc. shall allocate deliveries fairly and reasonably among its Purchasers.

RISK OF LOSS: Upon delivery of products to carrier, all risk of loss passes to the Purchaser. Cillus Company, Inc. will neither issue credit for nor accept return of products damaged or lost after Cillus Company, Inc. has delivered them to the carrier.

SHORTAGES & DAMAGES: All shipments should be checked immediately upon arrival for possible damage and shortage.  Losses should be reported at once to the Delivering Carrier, ask them to make an inspection and file a claim with them.  Have the driver note shortages and damages.  Do not return damaged goods, defective, or shipped-in-error merchandise to us without prior authorization.  All claims must be received within 10 days of receipt of merchandise.

RETURNS: It is our general policy not to accept returns since all sales are final.  However, if in exceptional situations merchandise is to be returned to us, for whatever reason, we must be contacted in advance so we can prepare a written authorization and shipping instructions.  All returns must be returned freight prepaid.

LIMITED WARRANTY: Cillus Company, Inc. warrants that their products conform to descriptions on the respective manufacturer's catalogs, brochures, and on the packages.  This warranty is exclusive and in lieu of all others.  This warranty is only valid to the immediate purchaser and is by no mean intended to be passed on to any user of the products.

LIMITATION OF LIABILITY: Cillus Company, Inc. shall replace any products that do not conform to product descriptions or shall refund the purchase price of such products as an option.  Under no circumstances shall the total liability of Cillus Company, Inc., for any claim, exceed the purchase price of such products.

CANCELLATION: Cillus Company, Inc. has the right to cancel any order if: (a) all terms and conditions contained herein are not strictly complied with by the Purchaser, or (b) Purchaser becomes bankrupt or insolvent, makes an assignment for the benefit of creditors, goes out of business, or if any proceeding, voluntary or involuntary, involving the Purchaser is instituted under the bankruptcy or insolvency laws.

GOVERNING LAW: The laws of the State of California shall govern all orders.

WAIVER: No course of dealings between Cillus Company, Inc. and the Purchaser or any delay on the part of Cillus Company, Inc. in exercising any rights under these terms and conditions of sale shall operate as a waiver of any such rights, except to the extent expressly waived in writing by Cillus Company, Inc.
